Reseller Agreement (by Using this portal agree to Reseller Agreement)
(1) INTELLECTUAL PROPERTY
Any and all information provided within the Reseller Portal is property of Notched and shall be held with confidentiality and my not be shared without written consent with exception to presenting pricing and designs as part of a formal proposal to prospective clients. All proposals and designs must include credit to Notched and contact information for Notched. Intellectual property aforementioned shall include but is not limited to: Pricing, Designs, Files, Plans, SketchUp Drawings and Copy. A copy of all use of such material for proposals must be sent to Notched with explanation of use to the following email design@notched.com Modification or altering of designs is strictly forbidden under this agreement.
(2) LIMITATION OF LIABILITY
Notched will not be responsible for any area of this agreement or under any agreement, carelessness, tight responsibility or other legal or reasonable concept for any oblique, special, unforeseen, or resulting loss of any kind such as without restriction missing profits, missing standing, whether or not it has been recommended of the chance of such loss in advance. This exemption includes any responsibility that may occur out of 3rd party statements against the other celebration. In no occasion will a company be responsible for costs of purchasing of alternative goods by a supplier.
(3) GENERAL PROVISION
- The area titles found in this Agreement are for referrals reasons only and shall not impact in any way this is or presentation of this Agreement.
- No change or adjustment of this Agreement will be legitimate unless it is in writing and finalized by each celebration to this Agreement.
- Governing law. This Agreement shall be controlled, considered, and required with respect to the guidelines of the Condition of Governing Law State without respect to its issue of guidelines rules.
- Conformity of Law. The events shall adhere to any and all appropriate laws and regulations, policies of government entities regulators involved.
- Trade and Transfer Manages. All parties shall be careful with (a) submission with all export limitations, laws and regulations and regulations; (b) obtaining all allows and other allows necessary to undertake its responsibilities under this Agreement; and (c) spending all charges, responsibilities and the like, associated with its export of any items or the use of any information in experience with the Products.
(4) COUNTERPARTS
This Agreement may be implemented in alternatives, each of which shall be considered to be a unique, but all of which, taken together, shall represent one and the same agreement.
(5) WHOLE AGREEMENT
This Agreement includes the whole contract between the actions with regards to its topic and includes and supersedes all before agreements, representations and understanding of the actions, launched or oral.
